MEMORANDUM & RULES AND REGULATION


1. The name of the Association is Sutanuti Parishad (hereinafter called Parishad).

2. The Registered Office of the Parishad shall be situated at 89, Arabinda Sarani, Calcutta - 700 005 in the State of West Bengal.
 
3. The Territorial Area of the Parishad shall be the area bounded :
On North by Baghbazar Canal
On South by Mahatma Gandhi Road
On West by Hooghly River
On East by A.P.C. Road, (Western Foot Path).
 

4. The Objects of the Parishad are as follows :
a) To revive, promote and propagate the historical, social and cultural heritage of Sutanuti.

b) To erect and establish memorials, monuments, etc. in memory of such famous and legendary persons who had their names in various fields and who had their residence and/or place of work within the territorial limits of the Parishad.

c) To promote publications for the general information of the historical, social and cultural heritage of Sutanuti.

d) To arrange for the repairs, maintenance, upkeep and preservation of the historical monuments, houses, places of worship etc. within the territorial limits, of the Parishad which have fallen into disrepair or are not properly maintained because of lack of funds.

e) To cultivate the spirit of traditional values, culture and heritage of Sutanuti amongst members and other people by holding cultural programmes, traditional fairs and similar traditional and historical activities.
f) To accept any bequest gift grant, donation, subscription or to hold raffles for raising funds for the purpose of carrying out the objects of the Parishad.

g) To purchase, accept as gift or otherwise acquire any land or building situated within the territorial limits of Sutanuti which are of historical, cultural and social importance and which if not so acquired and maintained would be damaged, demolished or obliterated.

h) To manage, transfer or otherwise dispose of or deal with property of any kind belonging to the Parishad.

i) To enter into contract for and in connection with any of the purpose of the Parishad.

j) To invest the funds of or money entrusted to the Parishad in such investments or in such manner as may from time to time be determined by the Governing Body.

k) To establish, undertake, superintend, administer and contribute to any charitable fund which may seem calculated directly or indirectly to promote any of the purposes of the Parishad.

l) To raise loans, money and funds in such manner as may be deemed fit and proper on behalf of the Parishad.

m) To do all such things and to perform all such acts either alone or in conjunction with others as the Parishad may consider necessary or proper to the attainment of any or all the above objects.

n) To create Trust and appoint Trustees and to vest in such Trust fund, properties or assets for such specific or general purpose as may be considered desirable.

o) To frame Rules and Regulations for furtherance of the objects of the Parishad.

p) The income and properties of the Parishad, whatsoever derived or obtained shall be applied solely towards the promotion of the objects of the Parishad and no portion thereof shall be paid to or divided amongst any of its members by way of profits, provided that nothing herein contained shall prevent the payment in good faith of remuneration of any officers or servants or employees of the Parishad or other persons in return for any services rendered to the Parishad.

Rules and Regulation of Sutanuti Parishad.

1. Unless the context otherwise requires words and expressions contained in these rules & regulations shall bear the same meaning as in the West Bengal Societies Registration Act, 1961 or any statutory modification thereof.

2. Membership:
Any person who has attained the age of 18 years living in the territorial jurisdiction of the Parishad and/or who or his family has lived in the same jurisdiction for more than five years and who agrees in writing to be bound by the Memorandum and Rules and Regulations of the Parishad can apply for membership. The Governing Body will consider such application and may admit or refuse without assigning any reason.

2.1 Class of Members : (a) Patrons, (b) Life Members, (c) Ordinary Members, (d) Honorary Members.
(a) Patrons : The Governing Body may at its sole discretion elect as patrons distinguished persons whose names may enhance the prestige and popularity of the Parishad and whose inclusion as patron would be beneficial to the Parishad and help carrying out its objects. Some among them may be designated as only patron.

(b) Life Member : Any person qualified to be a member as aforesaid whose connection with the Parishad is deemed to be beneficial for the purpose of carrying out the objects of the Parishad and whose application for membership is approved by the Governing Body may become a life member of the Parishad provided he pays the requisite fees for such membership as decided by the Governing Body.

(c) Ordinary Member : Any person qualified to be a Member as aforesaid may become an ordinary member after his application has received the approval of the Governing Body and upon paying a sum as subscription which will be fixed by the Governing Body of the Parishad.

(d) Honorary Member : Any person qualified to be a member as aforesaid and whose connection with the Association is deemed to be beneficial to it may be elected as an Honorary Member by the Governing Body of the Association. Such person shall remain in Honorary Member initially for a period of two years. The number of Honorary Members, however, shall not at any time exceed 25.


2.2. Membership Fees :
(a) For Ordinary member of the Parishad, the admission
fee shall be Rs,-/- and annual Subscription shall be
(b) The fee for Life membership shall be Rs. 500/-.
(c) The rates of admission fee and Annual Subscription and Subscription for Life membership may be revised from time to time at any General Meeting which may be called for that purpose.
 

2.3. Duration of Membership :
A member of this Parishad shall continue to be such member so long as the membership is not terminated as herein provided namely if he :
(a) had died ; or
(b) signified, in writing his desire to one of the Jt. Secretaries that his name should be removed; or
(c) fails to fulfil the conditions of membership; or
(d) fails to renew his membership by payment of the annual subscription; or
(e) was not qualified to have his name entered in the Register of Members at the time when it was entered; or

(f) has been convicted for any of offence involving moral turputude; or
(g) has in the opinion of Governing Body, brought disrepute to the Association and is acting against its interests.
2.4. Register of Members :
The Parishad shall maintain a Register of Members at its registered office consisting of the names, addresses and occupations of the members and the dates of admission and cessation of membership. The Register will be kept open for inspection of the members of the Parishad on requisition.
2.5. Rights & Obligations of Members
(a) Any Life Member or Ordinary member of the Parishad has the right to elect and to be elected in the election of the Parishad.
(b) To submit suggestions for discussion of the Governing Body and Annual General Meeting on any matter,
(c) To inspect the accounts of the Association on appointment with the Jt Secretary.
(d) To resign from his membership after due intimation in writing to the Jt. Secretary.
(e) To pay his subscription within the period and/or prescribed time.
(f) Defaulting member shall not be allowed to take part orvote in meeting unless the Governing Body permit him to do so.
(g) Life members and Ordinary members shaJI have one vote each.
(h) Patrons and Honorary Members can neither vote nor contest any election of the Association.
3. Governing Body
3.1. There shall be a Governing Body of the Parishad consisting of members not exceeding twenty seven Including office bearers and co-opted members. The Governing Body may co-opt two members.

3.2. The Office Bearers of the Governing Body shall comprise of President not more than 3 Vies-Presidents 2 Joint Secretaries, Assistant Secretary not exceeding four and a Treasurer.
3.3. The Office-bearers and other members of the Governing Body shall be elected at the Annual General Meeting by ballot until and unless the Parishad frames specific rules for election.
3.4. The term of the Governing Body shall be three years.
3.5. The first Governing Body as mentioned in the Memorandum of Association will function as the Governing Body till the 31 st March 1993 or 6 weeks from the date of Registration whichever is later.
3.6. Filling of vacancies: in the event of termination of membership of any member of the Governing Body by resignation or other cause another member may be nominated or appointed by the remaining members of the Governing Body to serve the remaining term of the retiring member.
3.7. Removal and Resignation: If any memberof the Governing Body-
(1) ceases to reside within the territory of the Parishad (or a
period of more than one year; or (it) signifies in writing to the Jt. Secretary his desire to resign
or (iii) is absent for three consecutive meetings of the Governing
Body without any reasonable excuse, he shall cease to be
a member of the Governing Body of the Parishad.
3.8. Duties of the Office Bearers :
A. President: He shall (a) preside over alt the meetings of the Parishad, (b) take all disciplinary actions such as removal, dismissal, etc. in consultation with the Governing Body, (c) advise the Secretary/Jt. Secretaries in any matter requiring urgent attention and (d) Call emergent meeting.
B, In the absence of the President, one of the Vice-Presidents
(9) shall perform all these duties of the President.
C. Dirties of the Jt. Secretary : He shall (a) convene all the meetings of the Parishad, (b) maintain the minutes of all meetings, (c) issue general circulars and notices, (d) receive all applications for membership of the Association which shall be placed before the Governing Body, (e) sign on behalf of the Parishad all receipts for all sums received as subscription etc. (f) sign, give order of all bills for payment, (g) get the accounts of the Parishad audited by a Chartered Accountant (h) ensure compliance with statutory requirements, (i) operate bank accounts with Treasurer; (j) transact all other business subject to the direction of the Governing Body.
D. Duties of the Treasurer: He shall (a) collect and receive all subscriptions, donations and deposits of money and grant receipt thereof, (b) maintain and keep cash book and such other books of account as are necessary and (c) operate Bank account jointly with the Jt. Secretary (d) prepare the budget in consultation with the Secretary for consideration of the Governing Body.
3.9. Meeting:
3.9.1. The Governing Body may meet for the despatch of business, adjom and otherwise regulate its meetings as it seems fit The Jt. Secretary may summon a meeting of the Governing Body by serving notices of meeting to the members either personalty or by sending them notice by post
3.9.2. A meeting of the Governing Body shall be held at leastonce in three months at such place and time as the President or the Secretary may determine. Any five members of the Governing Body may give requisition for the meeting of the Governing Body and the Secretary shall summon the same within seven days and failing which the President and the Requisitionists may do so provided no business other than specified in the notice shall be transacted at such meeting.

3.9.3. Notice : Five days notice of the meeting specifying the place, time and genera! nature of the work and business to be transacted shall be given to every member of the Governing Body. Seven members personally present shall constitute a quorum for the meeting and if a quorum is not present within 30 minutes of time the members present may adjourn ttie meeting.
3.9.4. Procedure of the Meeting :
The President or in his absence the Vice-President shall preside over all meetings of the Governing Body and in their absence members present shall elect a Chairman of the meeting. All questions except such for which other provisions exist in the Rules at Bye-laws shall be decided by a marity of votes, each member having one vote. The President or the Chairman shall have a second or casting vote in addition to his own vote in case of equality of votes.
3.9.5. Powers and Duties of the Governing Body
The Governing Body shall have general power for supervision and conduct over all the affairs of the Parishad and shall have full power to do all such acts and things as the Panshad could do itself and which are not hereby or by statute expressiy directed or required to be done by the Parishad in the General Meeting and in particular shall discharge the following duties.
(a) To summon the Annual General of the Panshad.
(b) To divide the territory of the Parishad in such number of regions as may be necessary and to form Regional Committes in such manner as may be determined by resolution and/or rules adopted atthe General Meeting.
(c) To form Regional Committees and/or to appoint Sub-Committee with such power and duties as it shall deem necessary for the furtherance of the objects of the Parishad.

(d) To do all such acts and deal with all or any part of the property of Parishad as may be deemed necessary or expedient for the purpose of the Parishad.
(e) To keep proper documents of the Parishad and to open bank account in one or more Banks in the name of the Parishad.
(f) To purchase or otherwise acquire for the Parishad by resolution any property, rights and privileges moveable or immovable of whatsoever nature which the Parishad is authorised to acquire at such price and generally on such terms and conditions as they think fit and likewise to sell, lease, mortgage or otherwise dispose of all or any part of the property of the Parishad as deemed necessary or expedient for the purpose of the Parishad,
(g) To acceptdonations, grfts, subscriptions, moveable or i m moveable property for the objects of the Parishad.
(h) To take leagal advice on any matter they think fit and to authorise any office bearer to institute, conduct, defend, compound or abandon any legal proceeding by or against the Parishad.
(i) To adopt and amend its own bye-laws for the conduct of the business of the Governing Body.
3.9.6, Advisory Board : The Governing Body may form an Advisory Board comprising eminent personalites numbering not more than five. The members of the Board need not be necessarily residents of the territorial jurisdiction of the Parishad.
4. Safe custody of Properties :-
4.1. The Governing Body or the Trustee of the Parishad, if any constituted in future as hereinafter provided in the Rules shall be responsible for the safe custody and control of the funds, properties and assets of the Parishad.

4.2. The fund of the Society shall be kept in Banks/Post Off ice/M utual Funds and be invested in any securities specified U/S 20 of the Indian Trust Act 1882.
5. Accounts:
(a) Accounts of funds shall be kept in accordance with section 15(1) (a) (b) of the West Bengal Societies Registration Act 1961.
(b) The accounts of the Parishad shall be audited annually on the date set by the Governing Body by a duly qualified auditor as stated in Section 15(2) of the Act, appointed at the Annual General Meeting.
(c) The Books of Account and other statutory books shall be kept at the Registered Office and shall be open to inspection of the member at such time and place as the Governing Body directs on a written request made by any member.
6. Accounting Year:
The Accounting Year of the Parishad shall be from 1st day of April of each year to 31 st day of March of the following year.
7. General Meetings :
7.1. Annual General Meeting ;
(a) The Jt. Secretary shall annually call the Annual General Meeting within two monthsfrom the end of the fastf inancial year giving at least 14 days' notice to all members. The notice shall contain the place, date, day and time of the meeting.
(b) The following business shall be transacted at the Annual General Meeting :
i) To confirm the minutes of the last Annual General Meeting and of Special General Meetings, if any.

ii) To adopt with orwithout modification of the reportby the Governing Body of the Parishad for the previous year.
iit) To pass audited accounts of the Parishad for previous year.
iv) To appoint an auditor of the Parishad.
v) To conduct election of the Governing Body.
vi) To transact such other business as may be brought forward by giving 14 days' previous notice from any member.
7.2. Special General Meetings :
(a) A Special General Meeting may be called by the Jt, Secretary when directed by the Governing Body at any time in view of urgency of the matter. At feast? days' notice shall be given to every member for Special General Meeting.
(b) Members may request the Governing Body for Special General Meeting by the placing a requisition signed by one-third of the total members. In that case the Governing Body shaJI convene a Special General Meeting within a month from the receipt of such notice. In default of the Governing Body, the requisionists shall hold such meeting provided no business other than those specified in the notice shall be transacted.
7.3. An Extra-ordinary General Meeting for consideration of addition, alteration or amendment of the Memorandum of Association/ Rules & Regulations of the Parishad as provided in paras 7 (a) and (b) above 7 days' notice along with the proposed draft or change shall be sent to members before the meeting. The resolution for change, amendment of the Memorandum. Rules & Regulations be carried out if accepted by the three-fourths of the members voting in the meeting.

7.4. Minutes of Proceedings of General Meetings :
a) The minutes of proceedings of all General Meetings shaJi be recorded in a Minute Book and shall be signed by the Chairman of the meeting and the Secretary of the Parishad. They shall be read and confirmed at the next following meeting of the Parishad.
b) The Minute Book shall -
i) be kept at the registered office of the Parishad.
ii) be open during business hoursforthe inspection of any member.
7.5. Proceedings at Meeting :
a) No business shall be transacted at any General Meeting unless a quorum of members is found at the time the meeting proceeds to business.
b) Fifteen members shall constitute a quorum. 7.8. Adjourned Meetings :
a) If within half an hour from the time appointed for holding a meeting which has been called upon by the requisition of members, a quorum is not present the meeting shall be dissolved.
b) In any other case which is not a requisitioned meeting, the meeting shall stand adjourned subject to the date and place which the Chairman shall determine at the same meeting.
7.7. Voting :
a) All life members and ordinary members of the Association holding upto date membership cards shall have the right to vote.
b) Each member shall have one vote.
c) Save as otherwise provided, all questions, at a meeting shall be decided by the majority of votes of the members present and voting. Provided however, that in the event of equality of votes the Chairman shall have casting or second vote.

8. Bye Laws:
The Governing Body shall have power to make bye laws for the smooth functioning of the Parishad. The Governing Body shall also have the power to alter, modify or rescind such Bye-laws as may be considered necessary in the interest of smooth functioning of the Parishad.
9. Seal:
The Parishad shall have a common seal with its name engraved thereon which shall be affixed to all documents in presence of the President and the Secretary of the Parishad or such other persons as the Governing Body may appointfor the purpose, and the President and the Secretary or other persons as aforesaid shall sign every instrument to which the seal of the Parishad is so affixed in their presence.
10. Notices :
A notice may be served upon any member of the Parishad either personally or by sending tt by post under certificate of posting addressed at his registered place of address or fay publication in two locai newspapers.
11. Suit and Legal Proceedings :
All suits and legal proceedings by or against the Parishad shall be in the name of the Secretary/Jt Secretary in the name of such person or persons as shall be appointed by the Governing Body,
12. Amendment of the Memorandum of Parishad & Rules and Regulations :
The Governing Body shall have powers to amend the Memorandum of Parishad and Rules and Regulations, of the Parishad as may be considered necessary in the interest of the Parishad. These amendments of Memorandum of Parishad and Rules and Regulations may be attested, modified, rescinded or added to by special resolutions passed by members in a General Meeting called forthe purpose by three-fourths majority of the members present at such meetings,

13. Board of Trustees :
13.1. The Parishad, if it so decides, may have a Board of Trustees who shall, subject to such exceptions, terms and conditions and such rights and powers as the Governing Body may determine act as Trustees in respect of properties of the Parishad.
13.2. The Board shall consist of not less than five but not more than seven members to be elected by the Governing Body by a two-third majority of members present.
13.3. The membersof the Board shall hold officeforlifeor nation, or due to incapacities provided in the Indian Trust Act
14. Dissolution of the Parishad :
Subject to the provision of Section 24 and 27 of West Bengal Societies Registration Act 1961, or any statutory modification thereof, the Parishad may be dissolved by a resolution to that effect passed by three-fourths of the members of the Parishad voting at a Special General Meeting convened for the purpose. If upon the dissolution of the Parishad there remains after satisfaction of all its debts and liabilities and property whatsoever, the manner of disbursement of the funds and asset shall be decided by that meeting.
15. We, the undersigned members of the Governing Body of the Parishad, do hereby certify that the above is a true copy of the Rules and Regulation of the Parishad.
